1. General Terms
All and any business undertaken by Lester Control Systems Limited (hereinafter called ‘the company’) is transacted subject to the conditions hereinafter set out, each of which shall be deemed to be incorporated in and to be a condition of any agreement between the company and its customers. Any variation of these conditions is inapplicable unless accepted in writing by the company.
2. Customer’s Warranties
Customers entering into transactions with the company expressly warrant that they are authorised to accept and are accepting these conditions not only for themselves but also as agents for and on behalf of all other persons who are or may thereafter become interested in the company’s goods or products, whether in whole or part.
3. Orders, Instructions, and Requests
Any orders, instructions, and requests placed with or given to the company may, at the absolute discretion of the company, be complied with by the company itself, its own servants or agents performing part or all of the relevant services or manufacturing processes, or by the company employing or instructing or entrusting the services, manufacturing processes, goods, or products to others for whatever purpose on such conditions as such others may stipulate. These shall be binding upon them as if the customer had directly employed, instructed, and/or placed the order with any such persons as the company may employ.
4. Pricing & Terms
All prices quoted by the company shall be ex U.K warehouse unless otherwise stated and are subject to the right of withdrawal or revision by the company without notice. The company also reserves the right to vary invoices, accounts, and statements submitted to the customer due to changes in currency rates or other circumstances outside its control.
5. Delivery Periods
Where a period is specified in which delivery is to take place and such period is not extended, the customer shall take delivery within the specified period and accept the company’s invoice for payment. The company reserves the right to vary the delivery period at its absolute discretion and without being liable for any loss.
6. Specifications
Where specifications are required, the customer shall supply such specifications in reasonable time to enable the company to complete manufacture and delivery within the specified period.
7. Goods and Products Compliance
All goods and products manufactured and/or sold by the company shall, as far as practical, comply with specifications and/or the range set out in the company’s catalogue or any quotation provided. The company is not responsible for any defects related to parts or products described in literature supplied by the company.
8. Catalogue & Quotation Variations
The company reserves the right to vary its catalogue and the details therein or any quotation provided without notice. The company gives no warranties, implied or otherwise, that any goods or products are available for immediate transmission or delivery to a customer.
9. Warranty Limitation
The company gives no warranty in respect of any goods or products or parts thereof, unless imposed by statute.
10. Defects and Liabilities
The company will not accept responsibility for any defect unless notified in writing within 28 days of such defect becoming apparent. If the company accepts liability, the remedying of such defects will be at its sole discretion.
11. Loss or Damage During Delivery
The company will not accept liability for loss or damage to the goods during delivery unless it is proven that the loss or damage occurred while the goods were in the care and control of the company pending delivery.

13. Force Majeure
The company shall not be liable for any loss, damage, or delay due to circumstances beyond its control, such as acts of God, strikes, war, and other events.
14. Default & Breach
If the customer defaults or breaches any material obligation, the company has the right to terminate agreements and invoice the customer for work performed or expenses incurred.
15. Insolvency & Bankruptcy
The company may terminate agreements if the customer offers arrangements with creditors, is declared bankrupt, or if a petition to wind up the customer is filed.
16. Creditworthiness & Termination
The company reserves the right to terminate agreements based on the customer’s creditworthiness.
17. Lien & Right of Detention
All goods, whether manufactured by the company or not, are subject to a lien for monies due from the customer. The company may sell goods if monies remain unpaid.
18. Interest on Overdue Accounts
The company may charge interest at 3% above the current Barclays Bank PLC base rate if any account is overdue by more than 30 days.
19. Governing Law & Jurisdiction
All agreements shall be governed by English law, and disputes will be under the jurisdiction of the courts in the United Kingdom.
Cancellations and Returns
20. Order Cancellation & Returns Policy
LCSL may allow order cancellations at its discretion, subject to recovering costs incurred and a processing charge. Goods may be returned only with prior written permission, subject to a handling/re-stocking fee of £50 minimum. The original delivery charge still applies.
20.1 Partial Order Cancellation
In the event of part-order cancellation, LCSL may invoice the customer for any price difference based on the quantity dispatched compared to the ordered quantity.

Customers may return products to LCSL within 30 days under the following conditions:

20.4 Non-compliant Returns
Returns not complying with these conditions may be refused or subjected to a handling charge.
20.5 Excluded Products from Returns
Software, calibrated products, non-catalogue items, and specially manufactured products are excluded from the return policy.
20.6 Liability for Loss/Damage in Transit
LCSL accepts no responsibility for loss or damage to products during transit from the customer to LCSL.
